TOLLOZ TERMS OF USE

1. About These Terms

These Terms of Use ("Terms") govern access to and use of the Tolloz website, applications, software, services and related features (together, the "Services").

The Services are provided by:

TOLLOZ UK LIMITED is referred to in these Terms as "Tolloz", "we", "us" or "our".

By creating a Tolloz account, starting a free trial, purchasing a subscription or otherwise using the Services, you agree to these Terms.

If you are using Tolloz on behalf of a company, bakery, cake business or other organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Business Users Only

Tolloz is a business-to-business service.

The Services are intended for cake businesses, bakeries, cake shops and other commercial organisations and are not intended for personal or household consumer use.

You must:

  • be at least 18 years old;

  • use the Services for business purposes; and

  • have legal authority to enter into these Terms.

3. What is Tolloz?

Tolloz is a cloud-based bakery management platform designed to help businesses manage activities such as:

  • customer orders;

  • EPOS and transaction information;

  • customer relationship management;

  • customer records;

  • cake and product specifications;

  • production planning;

  • collection and delivery information;

  • deposits and outstanding balances;

  • customer communications;

  • rewards and loyalty;

  • customer milestones;

  • sales information;

  • analytics; and

  • related bakery operations.

Features may differ depending on your subscription, location, integrations and product release stage.

We may add, change, improve or remove features from time to time as Tolloz develops.

4. Creating an Account

You must provide accurate and complete information when creating a Tolloz account.

You are responsible for:

  • keeping account information accurate;

  • protecting login credentials;

  • ensuring staff use individual accounts where available;

  • controlling who can access your organisation;

  • immediately disabling users who should no longer have access; and

  • notifying us promptly if you believe your account has been compromised.

You must not share passwords or allow unauthorised persons to access your account.

5. Free Trial

Tolloz may offer eligible businesses a 7-day free trial.

Unless otherwise stated:

  • the trial is limited to one trial per business;

  • no payment card may be required to start the trial;

  • trial features may differ from paid features;

  • we may restrict trials where we reasonably believe the trial system is being abused; and

  • continued use after the trial requires a paid subscription.

We may change the duration or availability of future trial offers without affecting a trial already underway.

6. Subscriptions and Pricing

Current subscription plans and pricing are displayed on the Tolloz website or during checkout.

We do not incorporate a fixed subscription price into these Terms because our pricing and plans may evolve as new features and services are introduced.

The price shown when you subscribe will apply to your initial subscription period.

Unless otherwise stated, quoted prices exclude any taxes, duties or third-party usage charges that may apply.

7. Automatic Renewal

Paid subscriptions automatically renew for successive billing periods unless cancelled before the renewal date.

Depending on your selected plan, this may include monthly, six-monthly, annual or other subscription periods.

Where the billing period makes this practicable, Tolloz intends to send renewal notifications approximately:

  • one month before renewal;

  • seven days before renewal;

  • one day before renewal; and

  • following successful renewal.

You remain responsible for managing your subscription and cancellation settings.

Failure to receive a reminder because of spam filtering, incorrect contact details, email delivery problems or circumstances outside our reasonable control does not automatically invalidate an otherwise valid renewal.

8. Changes to Subscription Prices

We may change subscription pricing from time to time.

Where a price change affects an existing paid subscription, we will provide reasonable advance notice, normally at least 30 days.

A price change will not retrospectively alter an already-paid subscription period.

You may cancel before the new price becomes applicable if you do not wish to continue at the revised price.

9. Payment

Subscription payments may be processed by Stripe or another payment provider made available by Tolloz.

You authorise the applicable payment provider to charge your selected payment method for subscription fees and other charges you have authorised.

You must keep your billing information current.

If payment fails, we may:

  • retry payment;

  • notify you;

  • restrict access to paid functionality; or

  • suspend or terminate the subscription after a reasonable opportunity to resolve the failed payment.

Tolloz does not normally receive or store complete raw payment-card details.

10. Cancellation

You may cancel your subscription at any time.

Cancellation takes effect at the end of the subscription period you have already paid for.

You may continue using the applicable Services until the end of that period unless your account is terminated for breach of these Terms.

11. Refunds

Subscription payments are non-refundable once the subscription period has started, except where:

  • required by applicable law;

  • an incorrect charge resulted from an error by Tolloz; or

  • we expressly agree otherwise in writing.

We do not provide partial refunds or credits for:

  • unused subscription time;

  • early cancellation;

  • periods when you choose not to use the Services; or

  • unused features.

You can therefore continue using your subscription until the end of the paid period following cancellation.

12. Staff Accounts

Your subscription may permit multiple authorised users.

You are responsible for all authorised users connected to your account.

Authorised users must comply with these Terms.

You must not:

  • sell user accounts;

  • share accounts outside your business;

  • allow unauthorised third parties to access Tolloz; or

  • intentionally circumvent user or subscription limits.

13. Your Customer Data

When you use Tolloz, you may enter or upload information relating to your own customers, including:

  • names;

  • email addresses;

  • telephone numbers;

  • addresses;

  • cake and order information;

  • reference images;

  • collection or delivery information;

  • birthdays;

  • anniversaries;

  • other milestones;

  • customer preferences;

  • communications; and

  • order history.

This is referred to as "Customer Data".

You retain responsibility for and control over your Customer Data.

Tolloz does not acquire ownership of Customer Data.

14. Your Responsibilities for Customer Data

You are responsible for ensuring that you have an appropriate lawful basis to collect, store and use Customer Data.

You are also responsible for:

  • providing appropriate privacy information to your customers;

  • responding to customer data-protection requests;

  • obtaining marketing consent where legally required;

  • keeping information accurate;

  • complying with applicable privacy and electronic-marketing laws; and

  • ensuring information uploaded to Tolloz does not infringe the rights of others.

Tolloz generally processes this information on your behalf as a data processor.

Our Data Processing Agreement forms part of the contractual relationship where applicable.

15. Tolloz Access to Customer Data

Tolloz does not routinely inspect or use your Customer Data for its own independent marketing purposes.

Customer Data is primarily processed automatically through the Tolloz platform.

Access by authorised Tolloz personnel may occur where reasonably necessary to:

  • provide technical support requested by you;

  • investigate a security incident;

  • maintain or restore the Services;

  • prevent fraud or misuse;

  • diagnose technical faults;

  • comply with law; or

  • protect the security of Tolloz and its users.

Any such access will be subject to appropriate access controls and confidentiality obligations.

16. Marketing to Your Customers

Tolloz may provide tools allowing you to send communications to customers by email, SMS, WhatsApp or other channels.

You are responsible for determining whether a communication may lawfully be sent

You must not use Tolloz to send:

  • unlawful spam;

  • unsolicited marketing where consent is legally required;

  • misleading communications;

  • fraudulent messages;

  • abusive or discriminatory communications; or

  • messages that breach applicable electronic-marketing legislation.

Tolloz may suspend messaging functionality where we reasonably believe it is being misused.

17. Customer Payments

Tolloz may allow bakeries to collect deposits, balances or other payments through integrated third-party payment providers.

Availability varies by country and provider.

Payment functionality may include:

  • payment links;

  • online card payments;

  • deposits;

  • balance payments;

  • Tap to Pay;

  • payment terminals; or

  • integrations with existing payment providers.

Additional payment-provider terms and fees may apply.

18. Third-Party Payment Providers

Payment services are provided by third parties and may be subject to separate agreements between you and the relevant payment provider.

Unless expressly stated otherwise, Tolloz is not:

  • a bank;

  • a card issuer;

  • a payment institution;

  • your financial adviser; or

  • responsible for the underlying transaction between you and your customer.

You remain responsible for:

  • pricing your products;

  • refunds to customers;

  • disputes;

  • chargebacks;

  • taxes;

  • customer service; and

  • compliance relating to goods and services you sell.

19. Bespoke Integrations

Tolloz may offer bespoke integrations with existing EPOS, payment, accounting, ecommerce or other business systems.

Bespoke integrations may require:

  • technical assessment;

  • additional fees;

  • separate implementation timelines; and

  • separate statements of work or agreements.

We cannot guarantee that every third-party provider permits integration with Tolloz.

20. Intellectual Property

Tolloz and its licensors retain all intellectual-property rights in the Services, including software, interfaces, designs, databases, branding, documentation and technology.

Your subscription gives you a limited, non-exclusive, non-transferable and revocable right to use the Services for your internal business purposes during your subscription.

You may not:

  • copy the Tolloz software;

  • reverse engineer it except where law expressly permits;

  • resell Tolloz without permission;

  • use Tolloz to build a competing product;

  • bypass security measures;

  • scrape the platform using automated tools without permission; or

  • reproduce Tolloz branding without authorisation.

21. Feedback

If you provide ideas, suggestions or product feedback, you permit Tolloz to use that feedback to develop and improve its products without an obligation to compensate you.

This does not transfer ownership of your Customer Data to Tolloz.

22. Acceptable Use

You must not use Tolloz:

  • unlawfully;

  • fraudulently;

  • to distribute malware;

  • to gain unauthorised access to systems;

  • to interfere with the Services;

  • to harass or harm another person;

  • to transmit illegal content;

  • to breach intellectual-property rights;

  • to send prohibited marketing;

  • to circumvent security measures; or

  • in a way likely to damage Tolloz or other users.

23. Service Availability

Tolloz is a cloud-based service and requires internet connectivity.

We aim to provide a reliable service but cannot guarantee that Tolloz will be uninterrupted or error-free at all times.

Temporary interruptions may occur because of:

  • maintenance;

  • software updates;

  • internet failures;

  • third-party provider failures;

  • cybersecurity events;

  • emergency maintenance; or

  • circumstances outside our reasonable control.

Where reasonably possible, we will seek to minimise disruption.

24. Updates

Because Tolloz is cloud based, updates may be deployed automatically.

We may modify features where reasonably necessary to:

  • improve performance;

  • increase security;

  • comply with law;

  • respond to customer feedback;

  • address technical issues; or

  • develop the product.

We will seek to provide reasonable notice where a material change significantly affects core paid functionality.

25. Third-Party Services

Tolloz depends on third-party infrastructure and service providers.

These may include providers of:

  • hosting;

  • databases;

  • payment processing;

  • email;

  • SMS;

  • WhatsApp;

  • analytics;

  • customer support;

  • monitoring; and

  • marketing technology.

We are not responsible for independent third-party services outside our reasonable control.

26. Data Following Cancellation

After the subscription ends, we recommend the following standard Tolloz retention process:

30-day recovery period

Customer Data may remain in the active platform environment for up to 30 days following termination or expiry to allow account recovery or data export.

After this period, Customer Data will normally be deleted or anonymised from production systems.

Encrypted backup copies may remain for up to a further 90 days before being overwritten or deleted through normal backup cycles.

Certain billing, transaction, contractual, security and legal records may be retained for longer where required by law.

27. and Termination

We may suspend or terminate access where you:

  • materially breach these Terms;

  • fail to pay amounts due;

  • use Tolloz unlawfully;

  • create a material cybersecurity risk;

  • repeatedly misuse messaging services;

  • infringe intellectual-property rights; or

  • create material harm to Tolloz or other users.

Where reasonably possible, we will give you an opportunity to remedy a breach before termination.

28. Disclaimer

Tolloz is a business-management software platform.

We do not guarantee that use of Tolloz will:

  • increase your revenue;

  • guarantee repeat customers;

  • eliminate every human error;

  • satisfy every regulatory requirement applicable to your bakery; or

  • replace professional legal, accounting, tax or financial advice.

You remain responsible for operating your business.

29. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that:

Tolloz will not be liable for indirect, consequential or special losses, loss of anticipated profits, loss of business opportunities or loss of goodwill arising from use of the Services.

To the maximum extent permitted by law, Tolloz's total aggregate liability arising out of or relating to the Services during any 12-month period will not exceed the subscription fees paid or payable by you to Tolloz during the preceding 12 months.

This provision should be reviewed by Tolloz's solicitor before commercial launch.

30. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through reasonable means such as email, account notification or the Tolloz website.

Your continued use following the effective date of updated Terms constitutes acceptance of those Terms where legally permitted.

31. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms, subject to any mandatory law that applies otherwise.
